Terms of Service

These terms set out the agreement between you and the City Chamber of Commerce — what you can expect from us, what we ask of you, and how membership works. We have written them to be as clear as possible, because an agreement you cannot understand protects nobody.

1. Agreement to These Terms

These Terms of Service form a binding agreement between you and The City Chamber of Commerce (“C2OC”, “we”, “us”). They apply whenever you visit our website, create an account, or use any of our business or community services.

By registering for membership or using the site, you confirm that you have read, understood and accepted these terms. If you do not agree with them, please do not use our services.

These terms should be read together with our Privacy Policy and our Community Guidelines, both of which are incorporated into this agreement.

2. Eligibility and Your Account

You must be at least 18 years old and able to enter into a binding contract to hold a C2OC membership. If you register on behalf of a business or organisation, you confirm that you are authorised to bind that entity to these terms.

You agree to provide accurate, current and complete information when you register, and to keep it up to date. You are responsible for keeping your password confidential and for all activity that takes place under your account. Please tell us promptly if you suspect unauthorised use.

Each membership is for a single business or individual. Accounts may not be shared, sold or transferred without our written consent.

3. Membership Types and Fees

C2OC offers membership at several levels, for businesses and for community members. Current prices are shown on our business membership pricing and community membership pricing pages, and those pages govern the fee that applies when you subscribe.

Business memberships are billed monthly. Community memberships are billed annually. All fees are stated in US dollars and are exclusive of any taxes that may apply.

Community services are included at no additional charge for business members in good standing.

We may change our fees. Where we do, we will give reasonable advance notice, and the new price will apply from your next renewal. If you do not wish to continue at the new price, you may cancel before it takes effect.

4. Billing, Renewal and Cancellation

Membership is a recurring subscription. Unless you cancel, it renews automatically at the end of each billing period, and the payment method on your account is charged for the next period.

There is no minimum term and no long-term contract. You may cancel at any time from your member dashboard or by contacting us. Cancellation takes effect at the end of your current paid period, and you keep access to member services until then.

If a payment fails, we may retry it and may suspend member benefits — including your directory listing and AI marketing services — until the account is brought up to date.

5. Refunds

Except where required by law, membership fees are non-refundable, and we do not provide partial refunds for unused portions of a billing period.

If you believe you have been charged in error, contact us promptly and we will review the matter in good faith.

6. Your Content

You keep ownership of everything you post — your listings, promotions, events, replies, images and other materials (“member content”).

By posting member content, you grant C2OC a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, display and distribute that content for the purpose of operating and promoting our services, including within the geographic reach you select when you publish it (your city, your state, or the whole network).

You are responsible for your member content. You confirm that you own it or have permission to use it, that it is accurate, and that it does not infringe anyone else's rights or break any law.

We may remove or refuse to publish content that breaches these terms or our Community Guidelines. We are not obliged to monitor member content, but we may do so.

7. Acceptable Use

Our network depends on trust. You agree not to:

  • post anything unlawful, fraudulent, deceptive, defamatory, harassing, obscene or hateful;
  • impersonate another person or business, or misrepresent your affiliation;
  • post spam, chain messages, pyramid schemes or repetitive promotional content;
  • collect or harvest other members' personal information, including by scraping;
  • interfere with, disrupt, probe or attempt to gain unauthorised access to our systems;
  • upload viruses, malware or other harmful code;
  • use our services to compete with C2OC or to build a comparable directory or network; or
  • use automated tools to access the site except for well-behaved search engine crawlers.

8. Directory Listings and Promotions

Business members receive a listing in the C2OC business directory. You are responsible for the accuracy of your listing, including your contact details, categories, hours and service area.

We may edit listings for formatting, correct evident errors, or reclassify a listing into a more appropriate category. We may remove listings that are inaccurate, misleading, inactive or in breach of these terms.

Where enhanced or featured placement is offered, it is provided for the period purchased and does not guarantee any particular level of enquiries, traffic or sales.

9. AI Marketing Services

Business membership includes AI-powered marketing services. These operate on the business information you supply, so please keep it accurate and complete.

You confirm that you hold the rights to any logos, images, trademarks, offers and copy you provide, and that the claims you ask us to promote are truthful and comply with applicable advertising law.

We do not guarantee specific marketing results. Search rankings, impressions, engagement, enquiries and sales depend on many factors outside our control, including your market, your pricing, third-party platforms and their algorithms. Our commitment is to provide the services diligently, not to promise a particular commercial outcome.

You may review marketing material generated on your behalf. If anything is inaccurate or off-brand, tell us and we will correct it.

10. Website Development Benefit

Where a discounted website development benefit is offered as part of membership, it applies to development work carried out by C2OC or its nominated providers, subject to the discount level and maximum value published on our membership pages.

The benefit is available to members in good standing, applies to a single project unless we agree otherwise, cannot be exchanged for cash, and is subject to a separate scope of work agreed before the project begins.

11. Dealings Between Members and Third Parties

C2OC provides a platform that connects businesses and community members. We are not a party to any transaction, agreement, employment relationship, donation or arrangement made between members or with third parties.

This includes quotes requested and given, goods and services bought and sold, jobs and internships advertised and accepted, volunteering arrangements, charitable giving and requests for assistance.

We do not vet, endorse or guarantee any member, listing, offer, job posting or request. You are responsible for exercising your own judgement, carrying out your own checks, and taking sensible precautions before entering into any arrangement or sharing personal or financial information.

12. Intellectual Property

The C2OC name, logo, site design, text, graphics, software and the compilation of the directory are owned by or licensed to The City Chamber of Commerce and are protected by intellectual property law.

You may view and use the site for your own business or personal purposes as a member. You may not copy, reproduce, republish, sell or create derivative works from our materials without our written permission.

If you believe material on our site infringes your copyright, please contact us with details of the work, its location on our site and your contact information, and we will investigate.

13. Suspension and Termination

You may end your membership at any time as described above.

We may suspend or terminate an account, remove content, or withdraw access to any service if a member breaches these terms or our Community Guidelines, if payment is not made, if we are required to do so by law, or if we reasonably believe the conduct in question risks harm to other members or to C2OC.

Where it is appropriate and safe to do so, we will give notice and an opportunity to put matters right. On termination, your right to use the services ends, and we may remove your listings and content.

14. Disclaimers

Our services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.

We do not warrant that the site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any content is accurate or complete.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited.

15. Limitation of Liability

To the fullest extent permitted by law, C2OC and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, data or business opportunity, arising out of or connected with your use of our services.

Our total aggregate liability arising out of or relating to these terms or our services will not exceed the total membership fees you paid to us in the twelve months immediately before the event giving rise to the claim.

These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of such damages.

16. Indemnification

You agree to indemnify and hold harmless C2OC and its officers, employees and agents from any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your member content, your use of our services, your breach of these terms or our Community Guidelines, or your violation of any law or the rights of a third party.

17. Governing Law and Disputes

These terms are governed by the laws of the State of [INSERT STATE] and the applicable laws of the United States, without regard to conflict-of-law principles.

If a dispute arises, we ask that you contact us first so that we can try to resolve it informally — most issues are settled quickly this way. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in [INSERT COUNTY AND STATE], and you consent to the jurisdiction of those courts.

18. Changes to These Terms

We may revise these terms from time to time. When we do, we will update the “last updated” date at the top of this page and, where the changes are material, give members reasonable notice.

If you continue to use our services after a change takes effect, you accept the revised terms. If you do not accept them, you should cancel your membership.

19. General

If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of our right to do so later.

These terms, together with our Privacy Policy and Community Guidelines, are the entire agreement between you and C2OC concerning our services. You may not assign this agreement without our consent; we may assign it in connection with a merger, acquisition or sale of assets.
